Acquisition of Gemelli Molise spa

In August 2021, Responsible Capital entered exclusive negotiations to acquire the majority of Gemelli Molise spa (www.gemellimolise.it), one of the highly regarded hospitals in mid-south of Italy, entering a strategic medical-scientific partnership with the Fondazione Policlinico Agostino Gemelli in Rome (www.policlinicogemelli.it) and the Università Cattolica del Sacro Cuore (www.unicatt.it). The collaboration with the Gemelli Foundation an the Università Cattolica will, amongst others, also include key leadership members joining the hospital board as well as Responsible Capital's Advisory Board.

On October 4th, the Gemelli Foundation and Responsible Capital signed the respective preliminary Share Purchase Agreement, whereby Responsible Capital will acquire 90% of the shares of Gemelli Molise spa.

In the buy-and-build platform strategy of Responsible Capital, Gemelli Molise represents the nucleus of the healthcare strategy in Italy. It will ensure operational efficiency and wold-class medical expertise throughout the investment portfolio.
